BetterTextAds.com Membership Agreement

In this agreement, the term "Member" refers to you (the applicant). Wherever the agreement refers to "you" or "your", it means "the Member"; "we" or "our" refers to BetterTextAds.com.

Membership Referrals

BetterTextAds.com will create a unique URL for you when you submit a complete Membership Enrolment Form. New members who join through your URL will be placed into your affiliate marketing team. When those members refer new members, the new members will also be placed into your affiliate marketing team. This continues down to four levels of referrals.

Affiliate Ad Placement

For each block of four Clickbank affiliate text ads displayed on the websites of your four level downline affiliate marketing team, one ad will be coded with the Clickbank affiliate ID associated with your BetterTextAds.com account. Text ads displayed on your own website(s) will be coded with the Clickbank affiliate ID's of your upline members. Your Clickbank ID will not be coded on any of the ads you display on your own site. However, your BetterTextAds.com referral URL will be coded on the top and bottom border links in ad blocks you display on your website(s).

In order for your Clickbank affiliate ID to be coded in ad blocks displayed by your downline affiliate marketing team members, you must maintain at least three visitor credits in your membership account. Upon successful application for membership, you will be awarded 33 visitor credits to your account. Every day, three visitor credits will be deducted from your account. To add more credits to your account, you must place at least one BetterTextAds.com ad block on at least one of your websites. You will be awarded one credit per day for each unique visitor who views any ad block you have placed on any of your websites. The current visitor credits for your account are displayed in the Members' area of the BetterTextAds.com website.

ClickBank will send a check for the applicable commissions within the framework of their policies. If any order that generated a referral fee is returned by the customer, or if there are any returned checks or charge-backs, the amount will be deducted by ClickBank from the next payment. These commissions are calculated and paid by Clickbank, not BetterTextAds.com. Any issues concerning the calculation and payment of commissions must be addressed with Clickbank.

Order Fulfilment

The sellers of the products ordered through Affiliate links in the BetterTextAds.com network will be solely responsible for processing orders placed by customers on their Affiliate Site.

Customers

Customers who purchase products and services through the Clickbank Affiliate Program will be deemed to be customers of the individual product sellers. Accordingly, all sellers' rules, policies, and operating procedures concerning customer orders and service will apply to those customers.

Qualification for Commissions

Affiliates must have an active Clickbank Affiliate ID in order to qualify for commissions.

Qualifying Sites

BetterTextAds.com reserves the right not to accept any site into the Membership Program based on site content. Sites that Do Not Qualify for the BetterTextAds.com Membership Program include sites which:

promote sexually explicit materials
promote violence
promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
promote illegal activities
violate intellectual property rights

BetterTextAds.com in no way participates in mass unsolicited emailing (i.e. spamming), and all Members are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the BetterTextAds.com Membership Program, with no refund. Bottom line: If you spam, you're out! Relationship of Parties

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total of any fees or commissions paid or payable to you by BetterTextAds.com under to this Agreement. Such fees and commissions do not include those paid or earned by you through the Clickbank affiliate program.

Disclaimers

We make no express or implied warranties or representations with respect to the Membership Program or your potential to earn income from the Membership Program. In addition, we make no representation that the operation of our site or your Affiliate links will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Any disputes between the parties to this agreement which involves interpretations of the terms of this agreement shall be submitted to arbitration under the rules of the American Arbitration Association, and the finding of the Arbitrator shall be binding on all parties. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

By signing up as a Member of BetterTextAds.com, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
